These Terms of Use ("Terms") govern your use of www.summit-gear.com (the "Site"). The Site is operated by Summit Enterprise Co., Limited ("Summit Gear," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Purpose of the Site

The Site provides general information about our OEM and ODM design and manufacturing services for knives, hand tools, outdoor and utility products, and hardware components. The Site does not sell products and does not accept orders or payments.

Site Content Is Not an Offer

Product descriptions, specifications, images, materials, capabilities, capacities and other Site content are general information only. They are not an offer to sell, a quotation or a binding commitment. Content may change without notice and may not reflect current capabilities or availability.

The following are set only in a written quotation or contract signed or confirmed by both parties:

  • quotations and pricing,
  • minimum order quantities (MOQ),
  • samples and tooling,
  • payment terms,
  • lead times and delivery terms, and
  • all other commercial terms.

Submitting an inquiry does not create a contract and does not oblige either party to do business.

Intellectual Property

We or our licensors own the Site and its content, including text, images, graphics, logos, layout and design. This content is protected by intellectual property laws. You may view and print Site pages for your own internal business evaluation. You may not copy, modify, distribute, republish or use any Site content for any other purpose without our prior written permission.

"Summit Gear" and related names and logos are our trademarks. Other trademarks shown on the Site belong to their respective owners.

Your Designs and Project Information

You keep ownership of all designs, drawings, specifications, trademarks and other materials you submit to us ("Customer Materials"). Submitting Customer Materials does not transfer ownership to us. You grant us a limited right to use them to evaluate and quote your project and to communicate with you about it. If you engage us, any further use will be governed by the written contract between us.

We treat Customer Materials as confidential and share them with personnel, affiliated companies, factories and service providers that need them for these purposes, and otherwise only where the law requires. If you and we have signed a non-disclosure agreement (NDA) or similar confidentiality agreement, that agreement governs our handling of Customer Materials. If that agreement conflicts with these Terms, the agreement prevails.

By submitting Customer Materials, you confirm that you have the right to share them with us for these purposes.

Acceptable Use

When using the Site, you agree not to:

  • break any applicable law or regulation,
  • submit false, misleading or unlawful information,
  • submit material that infringes the rights of others,
  • try to gain unauthorized access to the Site, its systems or its data,
  • interfere with or disrupt the Site, or introduce malware or other harmful code,
  • use automated means to scrape, harvest or collect data from the Site without our permission, or
  • use the Site to send spam or unsolicited communications.

We may restrict or block access to the Site for anyone who breaks these Terms.

Third-Party Links

The Site may link to websites or services operated by third parties. We do not control them and are not responsible for their content, policies or practices. You use them at your own risk.

Privacy

Our Privacy Policy explains how we handle personal information submitted through the Site.

Disclaimer of Warranties

To the extent permitted by applicable law, the Site and its content are provided "as is" and "as available," without warranties of any kind, express or implied. This includes warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

Any warranties for products we manufacture are set only in the applicable written contract.

Limitation of Liability

To the extent permitted by applicable law, we and our affiliates are not liable for any indirect, incidental, special, consequential or punitive damages arising from or related to your use of, or inability to use, the Site or its content. This includes loss of profits, data or business opportunities.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and change the effective date above. If you continue to use the Site after changes are posted, you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the People's Republic of China, without regard to its conflict-of-law rules. Any dispute arising from these Terms or your use of the Site will be submitted to the competent people's court in Yangjiang, Guangdong. This does not affect any mandatory rights you have under the laws of your place of residence.

General

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in effect. If we do not enforce a provision, we have not waived it. These Terms do not replace any written quotation, contract or NDA between you and us.
